Terms of Service

1. Agreement to Terms
By accessing or using TurnGoods ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. These Terms apply to all users, including consignors, resellers, and store operators.
TurnGoods is operated by TurnGoods Pty Ltd (ABN to be provided), an Australian company. These Terms are governed by the laws of Australia.
2. Definitions
- "Service" means the TurnGoods web application, API, consignor portal, and all associated features.
- "User", "you", or "your" means any person or entity accessing the Service.
- "Consignor" means a person who submits items to a store for resale through the Service.
- "Store" or "Reseller" means the business operating the TurnGoods account to manage inventory, consignment, and sales.
- "Laybuy" means a layaway or lay-by arrangement offered through the Service.
- "GST" means Goods and Services Tax as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
- "TPAR" means the Taxable Payments Annual Report as required by the Taxation Administration Act 1953 (Cth).
- "ACL" means the Australian Consumer Law, Schedule 2 to the Competition and Consumer Act 2010 (Cth).
3. Subscription Plans
TurnGoods offers three subscription tiers, all priced in Australian Dollars (AUD):
Starter Plan — /bin/bash/month

Growth Plan — 9/month per store
- Up to 500 items
- All marketplace integrations (eBay, Whatnot, Shopify, Depop)

- AI price audit and repricing
- Finance, BAS/GST reporting, and payout history
- 30-day free trial, then 9/month (AUD, inclusive of GST where applicable)
Scale Plan — 99/month per store
- Unlimited items
- All Growth features plus consignor remarketing, velocity intelligence, and dedicated onboarding
- SLA and priority support
- 30-day free trial, then 99/month (AUD, inclusive of GST where applicable)
All prices are in AUD. Where TurnGoods is registered for GST, prices include GST at the current rate of 10%. A tax invoice will be provided for all paid subscriptions.
4. Payment Terms
Billing Cycle
Paid subscriptions are billed monthly in advance. Your billing date is determined by the date you start your paid subscription. Payment is processed via Stripe (Australia) using your nominated credit or debit card.
GST
Where applicable, GST is included in the subscription price at the prevailing rate (currently 10%). Tax invoices with GST details are available in your billing settings. If your business is registered for GST, you may be entitled to claim input tax credits on your TurnGoods subscription — consult your tax adviser.
TPAR Obligations
TurnGoods provides reporting features to assist with Taxable Payments Annual Report (TPAR) obligations. Under the TPAR regime, businesses that provide or receive certain services (including consignment services) may be required to lodge a TPAR with the Australian Taxation Office (ATO). While TurnGoods provides tools to help generate this data, you are responsible for determining your own TPAR lodging obligations and ensuring compliance. TurnGoods does not lodge TPAR on your behalf.
Failed Payments
If a payment fails, we will attempt to process it again over 7 days. If payment remains unsuccessful, your account may be downgraded to the Starter plan. Outstanding amounts remain due and payable.
Refunds
We offer a 30-day free trial on all paid plans. Refund requests after the trial period are assessed on a case-by-case basis. Nothing in these Terms limits any rights you may have under the ACL (see Section 11).
5. Consignment Terms
TurnGoods provides tools for managing consignment arrangements between stores and consignors. The following terms apply to consignment features:
Consignor–Store Relationship
- The consignment relationship is between you (the store) and your consignor. TurnGoods is not a party to that relationship and is not liable for disputes between stores and consignors.
- You are responsible for setting your own commission splits, payout terms, consignment periods, and return policies.
- Consignor agreements should be established independently. TurnGoods provides templates but does not enforce contractual terms between you and your consignors.
Payout Calculations
- TurnGoods calculates payout splits based on your configured commission rates. These calculations are provided as a convenience only — you are responsible for verifying payout amounts before making payments to consignors.
- Payouts to consignors are made by you, not by TurnGoods. We do not hold or disburse consignor funds.
GST on Consignment Sales
Consignments may have GST implications depending on whether the sale is made on a consignment basis or as an agent. TurnGoods provides GST tracking features, but you are responsible for determining the correct GST treatment for your consignment sales. We recommend consulting a tax professional.
Consignor Portal
Growth and Scale plans include a self-service consignor portal. Consignors can track items, view payout history, accept laybuy terms, and book drop-off appointments. You are responsible for ensuring the information displayed in the portal is accurate and up to date.
6. Laybuy (Layaway) Terms
Laybuy (layaway) features are available on Growth and Scale plans. The following terms apply:
Laybuy Arrangements
- Laybuy arrangements are offered by your store to your customers. TurnGoods provides the software to manage these arrangements but is not a party to the laybuy agreement.
- You set the deposit amount, instalment schedule, and cancellation/forfeiture policy for laybuy items.
Australian Consumer Law
Laybuy arrangements are subject to the ACL. In particular:
- Customers are entitled to a refund of deposits if you fail to supply the goods, except where the deposit is a genuine non-refundable deposit (as permitted under the ACL).
- You must not engage in misleading or deceptive conduct in relation to laybuy terms (Section 18, ACL).
- Consumer guarantees under the ACL (Sections 51–64) apply to goods sold on laybuy just as they apply to other sales.
Forfeiture and Cancellation
If a customer defaults on a laybuy arrangement, your store's published laybuy terms govern the outcome. TurnGoods is not responsible for enforcing or administering forfeiture or cancellation policies.
7. Use of the Service
Acceptable Use
You agree to use the Service only for lawful purposes in accordance with these Terms. You must not:
- Use the Service to sell counterfeit, stolen, or illegal goods
- Misrepresent the authenticity, condition, or provenance of items
- Infringe the intellectual property rights of any third party
- Attempt to reverse-engineer, decompile, or gain unauthorised access to the Service
- Use the Service in a way that could damage, disable, or impair its operation
Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised access or use of your account.
8. Intellectual Property
Our Intellectual Property
The TurnGoods name, logo, software, design, and all associated intellectual property are owned by TurnGoods Pty Ltd. You may not use our trademarks, branding, or software except as expressly permitted in these Terms.
Your Intellectual Property
You retain ownership of all content you upload to the Service, including item listings, images, descriptions, and business data. By uploading content, you grant TurnGoods a limited, non-exclusive licence to use, store, and display that content solely for the purpose of providing the Service (including listing items on connected marketplaces on your behalf).
AI-Generated Content
TurnGoods may generate listing titles, descriptions, pricing suggestions, and other content using artificial intelligence. You are responsible for reviewing and approving all AI-generated content before it is published. TurnGoods is not liable for the accuracy or compliance of AI-generated content once approved by you.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which forms part of these Terms. Our Privacy Policy explains how we collect, use, store, and protect your personal information, including consignor data and customer information processed through the Service.
10. Limitation of Liability
General
To the maximum extent permitted by law, TurnGoods is not liable for any indirect, incidental, special, consequential, or punitive losses, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Service.
Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights you may have under the ACL, including consumer guarantees. Where the ACL applies:
- If the Service fails to meet a consumer guarantee, you may be entitled to a remedy (such as a refund or compensation for any reasonably foreseeable loss).
- Our liability for a failure to meet a consumer guarantee is limited (where permitted) to: (a) the supply of the Service again; or (b) payment of the cost of having the Service supplied again.
Maximum Liability
Where our liability is not limited by the ACL, our total aggregate liability under these Terms is limited to the total fees you have paid to TurnGoods in the 12 months preceding the claim.
11. Indemnity
You agree to indemnify TurnGoods against any loss, damage, or expense (including legal costs) arising from: (a) your breach of these Terms; (b) your use of the Service; (c) consignment or laybuy arrangements you offer; (d) goods you sell or list through the Service; or (e) any claim that your content infringes a third party's rights.
12. Termination
By You
You may terminate your account at any time from your profile settings. Upon termination:
- Your subscription will not be renewed. No further charges will be made.
- You will have 30 days to export your data (inventory, consignment records, financial reports).
- After 30 days, your data will be permanently deleted within 90 days.
By Us
We may suspend or terminate your account if you breach these Terms, with reasonable notice where possible. In cases of serious breach (such as selling counterfeit goods or fraudulent activity), we may terminate immediately without notice.
Survival
Sections 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnity), 12 (Termination — survival), and 13 (Dispute Resolution) survive termination of these Terms.
13. Dispute Resolution
Negotiation
If a dispute arises out of or relates to these Terms, a party must not commence court proceedings (except proceedings seeking urgent interlocutory relief) unless it has complied with this clause. A party claiming a dispute has arisen must give written notice to the other party specifying the nature of the dispute. Within 14 days, the parties must negotiate in good faith to resolve the dispute.
Mediation
If the dispute is not resolved within 30 days of notice, either party may request mediation. The mediator will be agreed between the parties or, failing agreement, appointed by the President of the Law Society of the state or territory in which you operate. Mediation costs are shared equally.
Jurisdiction
These Terms are governed by and construed in accordance with the laws of Australia. The parties submit to the non-exclusive jurisdiction of the courts of Australia. If you operate within a specific Australian state or territory, proceedings may be commenced in that jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Notify you by email to your registered address at least 14 days before the changes take effect
- Display a notice within the Service
- Update the "Last updated" date at the top of this page
If you continue to use the Service after changes take effect, you are deemed to accept the updated Terms. If you do not agree with the changes, you may terminate your account before the changes take effect.
15. General
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and TurnGoods in relation to the Service.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
Waiver
A failure or delay by TurnGoods to exercise a right under these Terms does not constitute a waiver of that right.
Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or successor entity.
